These Terms of Service ("Terms") govern your access to and use of https://www.webpronc.com/ and the public website features made available by WebPro NC (collectively, the "Website"). In these Terms, "WebPro NC," "we," "us," and "our" refer to WebPro NC, and "you" refers to the person or entity accessing or using the Website.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. Scope of These Terms
These Terms govern use of the public Website, including its pages, forms, chat, file-upload features, articles, case studies, portfolio materials, and other content.
Website design, development, hosting, maintenance, recovery, SEO, consulting, integration, support, or other paid services are governed by a separate written proposal, statement of work, master services agreement, service agreement, order form, or other contract (a "Client Agreement"). If a Client Agreement conflicts with these Terms regarding paid services, the Client Agreement controls.
Submitting an inquiry, starting a chat, requesting an estimate, or discussing a project does not create a client relationship, fiduciary relationship, partnership, agency relationship, or obligation to perform services.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website.
If you use the Website on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you and the entity.
3. Website Information and Service Descriptions
The Website provides general information about WebPro NC and services that may include:
- Custom website design and development
- Website and application development
- Platform, CRM, ERP, API, payment, booking, inventory, and other integrations
- SEO and performance optimization
- Website maintenance and technical support
- Website recovery, malware remediation, and security hardening
- Hosting guidance and related infrastructure consulting
- UI/UX audits, technical consulting, and digital strategy
Website content is provided for general informational and marketing purposes. It is not a binding offer, guarantee, specification, or promise of availability.
Any price, starting price, timeline, performance figure, availability statement, project range, service description, or example shown on the Website is illustrative and may change. Final scope, fees, deliverables, dependencies, assumptions, ownership rights, warranties, and schedules are established only in a signed Client Agreement.
4. Project Inquiries and Communications
You may submit information through contact forms, chat, email, or other Website features. You agree that information you submit will be accurate, current, lawful, and not misleading.
WebPro NC may use submitted information to evaluate your request, communicate with you, determine project fit, prepare a proposal, provide technical guidance, or protect the Website from abuse.
We are not obligated to accept a project, provide an estimate, respond within a particular time, reserve availability, or begin work unless a written Client Agreement states otherwise.
No Confidential Relationship Before Written Agreement
Unless WebPro NC has signed a separate nondisclosure or confidentiality agreement, information submitted through the public Website is not treated as confidential or proprietary. Do not send trade secrets, passwords, private keys, regulated data, source-code credentials, or highly sensitive materials through a public form or chat.
This provision does not authorize WebPro NC to use your personal information contrary to our Privacy Policy.
5. Chat and File Uploads
The Website may allow you to send chat messages or attach images, PDFs, and other files. By uploading or transmitting content, you represent and warrant that:
- You own the content or have all permissions necessary to send it to us
- The content does not violate intellectual property, privacy, confidentiality, publicity, contractual, or other rights
- The content does not contain malware, malicious code, unlawful material, or deceptive instructions
- Your submission complies with applicable law
You retain ownership of content you submit. You grant WebPro NC a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, inspect, reproduce, and use that content only as reasonably necessary to operate the Website, review or respond to your inquiry, maintain security, prepare requested materials, or perform an applicable Client Agreement.
We may reject, quarantine, delete, or block files or messages that present a security, legal, storage, or operational risk.
6. Acceptable Use
You may use the Website only for lawful purposes. You must not:
- Violate any applicable law, regulation, court order, or third-party right
- Submit false, fraudulent, defamatory, infringing, threatening, abusive, or unlawful content
- Send spam, bulk solicitations, automated inquiries, or deceptive communications
- Upload malware, ransomware, spyware, corrupted files, or harmful code
- Attempt to gain unauthorized access to the Website, servers, accounts, systems, networks, or data
- Probe, scan, test, bypass, defeat, or interfere with security, rate limits, access controls, human verification, or authentication
- Disrupt, overload, damage, disable, or impair the Website
- Use bots, scrapers, crawlers, automation, or data-extraction tools in a manner that burdens the Website or violates these Terms
- Reverse engineer, decompile, disassemble, or attempt to derive non-public source code, except where applicable law expressly permits it
- Impersonate another person or misrepresent your identity, affiliation, authority, or purpose
- Harvest email addresses, contact information, chat content, or other data from the Website
- Use Website content to train, develop, or improve a competing commercial model, dataset, product, or service without written permission
- Frame, mirror, reproduce, republish, or commercially exploit the Website or its content without written permission
- Encourage or assist another person in prohibited conduct
We may restrict, suspend, or block access when we reasonably believe these Terms have been violated or Website security is at risk.
7. Intellectual Property
The Website and its content—including text, software, code, visual design, user-interface elements, graphics, images, videos, animations, logos, trademarks, service marks, icons, layout, databases, and original materials—are owned by WebPro NC or used under license and are protected by intellectual-property and unfair-competition laws.
Subject to these Terms, WebPro NC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for lawful personal or internal business evaluation purposes.
Except as expressly permitted in writing, you may not copy, modify, adapt, translate, distribute, sell, license, publish, display, create derivative works from, or commercially exploit Website content.
"WebPro NC," associated logos, and related branding may not be used without prior written permission. Third-party names, trademarks, client names, project names, and logos belong to their respective owners. Their appearance does not grant you any license or imply an endorsement beyond the context described on the Website.
8. Portfolio, Case Studies, and Demonstrations
The Website may display portfolio projects, case studies, demonstrations, prototypes, concepts, screenshots, performance results, or descriptions of past work. These materials are provided as examples only.
Results vary based on project scope, content, hosting, third-party platforms, market conditions, client decisions, implementation, competition, budgets, and other factors. A case study or example does not guarantee the same result for another project.
Some demonstrations or sample applications may contain fictional names, placeholder data, sample pricing, or simulated features. Unless expressly stated otherwise, demonstration content should not be relied on as a live commercial offering.
9. Service-Specific Limitations
Unless a signed Client Agreement expressly states otherwise:
- SEO: WebPro NC does not guarantee search-engine rankings, traffic levels, leads, conversions, indexing, or continued visibility. Search engines and competitors may change independently.
- Performance: Speed, uptime, accessibility, compatibility, and performance results depend on hosting, browsers, devices, networks, third-party scripts, content, and other factors outside our control.
- Security and recovery: No system can be guaranteed completely secure. Malware removal, restoration, blacklisting recovery, backups, or hardening cannot guarantee that all damage will be reversible or that future incidents will not occur.
- Integrations: Third-party APIs, platforms, plugins, gateways, and services may change, fail, impose limits, discontinue features, alter pricing, or revoke access.
- Hosting and maintenance: Availability, response times, backups, monitoring, updates, and support levels are governed by the applicable Client Agreement and third-party provider terms.
- Timelines: Project schedules depend on timely access, approvals, content, feedback, credentials, third-party cooperation, and other dependencies.
10. No Professional Advice
Website content, articles, insights, technical explanations, and general communications are informational. They are not legal, tax, accounting, financial, regulatory, or other licensed professional advice.
You should consult an appropriately qualified professional for advice specific to your circumstances. WebPro NC does not represent that Website content satisfies every legal, accessibility, privacy, cybersecurity, industry, or regulatory requirement applicable to your business.
11. Feedback
If you voluntarily provide ideas, suggestions, recommendations, or feedback about the Website or WebPro NC services, you grant WebPro NC a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without restriction or compensation.
This section does not apply to confidential client materials governed by a Client Agreement.
12. Third-Party Services and Links
The Website may contain links to social media platforms, client websites, portfolio websites, hosting providers, scheduling services, software platforms, or other third-party resources. The Website may also rely on third-party infrastructure, analytics, chat, email, storage, security, or embedded content.
WebPro NC does not control and is not responsible for third-party content, security, availability, terms, privacy practices, pricing, or performance. A link or integration does not necessarily imply endorsement.
Your use of a third-party service is governed by that third party’s terms and policies. You assume the risks associated with visiting or using third-party services.
13. Privacy
Our collection and use of personal information are described in the WebPro NC Privacy Policy, which is incorporated into these Terms by reference.
14. Website Availability and Changes
We may modify, update, suspend, restrict, or discontinue any part of the Website at any time. We do not guarantee that the Website, chat, forms, downloads, links, content, or features will always be available, uninterrupted, secure, current, complete, or error-free.
We may correct errors, change content, alter features, or perform maintenance without notice. We are not responsible for loss caused by Website downtime, transmission failures, browser incompatibility, network problems, or third-party outages.
15. Disclaimer of Warranties

WEBPRO NC DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR YOUR PARTICULAR PURPOSE, OR THAT INFORMATION WILL BE COMPLETE, ACCURATE, OR CURRENT.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WEBPRO NC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WEBPRO NC FOR CLAIMS ARISING OUT OF OR RELATING TO THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit obligations or liability established in a signed Client Agreement, and they do not exclude liability that cannot lawfully be limited.
17. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless WebPro NC and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your misuse of the Website
- Your violation of these Terms or applicable law
- Content, files, or information you submit
- Your infringement or violation of another person’s rights
- Your fraud, willful misconduct, or unauthorized activity
WebPro NC may control the defense of an indemnified matter, and you agree to cooperate reasonably with that defense. You may not settle a claim in a manner that imposes liability or obligations on WebPro NC without our written consent.
18. Copyright Concerns
If you believe material on the Website infringes your copyright, send a written notice to Contact Us that includes:
- Identification of the copyrighted work
- Identification and location of the allegedly infringing material
- Your contact information
- A statement of your good-faith belief that the use is unauthorized
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act
- Your physical or electronic signature
We may remove or restrict access to material while reviewing a valid complaint.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Before filing a claim, you agree to contact WebPro NC at Contact Us and make a good-faith effort to resolve the dispute informally. If the dispute is not resolved, any action arising from the public Website or these Terms must be brought in a state or federal court of competent jurisdiction located in North Carolina, and each party consents to personal jurisdiction and venue there.
Nothing in this section prevents either party from seeking emergency or equitable relief to protect intellectual property, confidential information, systems, data, or security.
20. Changes to These Terms
We may update these Terms to reflect changes in the Website, services, law, security practices, or business operations. Updated Terms will be posted with a revised "Last updated" date.
Unless a later effective date is stated, changes become effective when posted. Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms.
Material changes to an active Client Agreement require the process stated in that agreement and are not made merely by changing these Website Terms.
21. General Provisions
- Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.
- No waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment: You may not assign these Terms without our written consent. WebPro NC may assign these Terms in connection with a merger, reorganization, sale of assets, or business transfer.
- No third-party beneficiaries: These Terms do not create rights for anyone other than you and WebPro NC, except indemnified parties under Section 17.
- Headings: Headings are for convenience and do not affect interpretation.
- Electronic communications: You consent to receive communications electronically in connection with your Website use and inquiries.
- Entire agreement: These Terms and the Privacy Policy constitute the entire agreement regarding use of the public Website. A signed Client Agreement separately governs paid services.
